Version 2026-10. Last Updated: November 3, 2026. Effective Date: November 3, 2026.
These terms govern the Refer & earn program (the "Program") operated by WEB Project s.r.o., ID No.: 28596935, registered seat at Dlouhá 730/35, Prague 1 - Old Town, 110 00, the Czech Republic, incorporated in the Commercial register maintained by the Municipal Court in Prague, section C, file 306366 ("Leadspicker," "we," or "us"). They apply in addition to the Leadspicker Terms of Use and the Privacy Policy. "You" means the Leadspicker account, and the person or business holding it, that takes part in the Program. You accept these terms by clicking "Accept the terms" on the Refer & earn page.
1. Who can take part
The Program is for businesses. By accepting these terms you confirm that you take part in the course of your business or profession (a sole trader counts), not as a consumer. Every Leadspicker account for which we have switched on the Program can take part, including free and trial accounts. Taking part costs nothing, and you never need to buy anything to earn a commission. A team takes part as one account: its referral link, gift codes, earnings and payouts belong to the team's billing owner, and its owner or administrators manage them. We may refuse or end participation as set out in Section 9.
2. How a referral is counted
A new Leadspicker account is referred by you when it signs up through your referral link, your custom code or one of your gift codes, or when it opens a page of our website through your link and signs up later from the same browser, if the visitor has consented to marketing cookies. When several links were used, the last one before the signup counts. We may also attach a referral by hand within 30 days after the signup, when you show us that you brought that customer. A referral is not counted when the new account belongs to your own company (for example, it uses the same company email domain), is a member of another account's team, already has a referrer, or is you or the partner who referred you. An account can have only one referrer, and it never changes.
3. What you earn
For each account you referred ("your customer"), you earn 20% of every invoice your customer pays us during 12 months from your customer's first paid invoice. You earn only on accounts you referred yourself: if an account you referred refers others, you earn nothing on what those others pay. Different rates may apply where we have agreed them with you in writing.
The commission is calculated from the amount actually paid, without VAT and other taxes, on Leadspicker plans, add-ons and credits. It is not earned on amounts paid from a customer's account balance, on mailboxes and domains we resell, on taxes, or on any other product we name on the Refer & earn page. The rate in force when an invoice is paid applies to that invoice. Commissions are kept in the currency of the invoice.
4. Refunds, chargebacks and holding period
Each commission is held for 30 days after the invoice is paid. If the invoice is refunded, credited or disputed, the commission is reduced or cancelled in proportion. If a commission was already paid out, the amount is deducted from your next payouts. A negative balance that is not offset within 6 months is written off and we do not ask you to pay it back, unless it arose from a breach of these terms.
5. Gift codes
While your team pays for a Leadspicker plan, it receives a limited number of single-use gift codes; a free or trial account receives none, and codes you already shared stop working if your team stops paying. A new account that signs up with a gift code is referred by you under Section 2. It receives the bonus credits stated on the Refer & earn page when it pays its first Leadspicker invoice, provided the referral is counted and your participation is not suspended. Bonus credits expire like the other credits of the account's plan, have no cash value, and cannot be transferred or exchanged for money. You may not sell gift codes.
6. Payouts
You can take approved commissions in one of two ways, which you choose on the Refer & earn page:
(a) As a credit to your Leadspicker account balance, which reduces your next Leadspicker invoices. This is available to everyone and has no minimum amount. It is available only in the currency in which you are billed.
(b) As a bank transfer. This is available only to registered businesses based in the European Union that provide their legal name, company ID or VAT ID, address and an IBAN in their own name. Businesses outside the European Union take their commissions as described in (a); we may offer them other payout methods later. We pay once a month, on or after the 1st, when the approved amount reaches the minimum stated on the Refer & earn page (at present 50 EUR, 50 USD or 1,250 CZK). We pay in your billing currency and convert commissions earned in other currencies at the market rate on the day of the payout. When you change your payout details, we may hold your next payout until we have checked them.
We may ask for information needed to comply with tax, accounting or sanctions rules before a payout, and we may withhold a payout until we receive it. We do not pay to persons or countries subject to EU sanctions.
7. Self-billing and taxes
By accepting these terms, you agree that for each bank payout we issue the document for your commission in your name and on your behalf (self-billing). If you are registered for VAT, the document is a tax document issued under § 28(10) of the Czech VAT Act and marked "vystaveno zákazníkem" (issued by the customer); if you are not, it is a payout statement, not a tax document. Commissions are amounts without VAT. If you are a VAT payer in the Czech Republic, we add VAT at the applicable rate to your bank payout and show it on the tax document. For VAT-registered businesses in other EU countries, the tax document is marked "daň odvede zákazník" (reverse charge) and we account for the VAT. Give us a VAT ID only if you are registered for VAT, and tell us without delay if any of your payout details change, including your VAT registration. You may object to a self-billed document within 15 days after we send it to you; otherwise it is deemed accepted. You are responsible for declaring and paying your own taxes on what you earn.
8. How you may promote Leadspicker
You must clearly disclose that you are paid for the promotion whenever you share your link or code, at the start of the post or message and in its language (for example "Ad" or "Paid partnership"; "in cooperation with" is not enough). You may promote your link or code in paid ads, provided the ads carry the same disclosure, do not use "Leadspicker" or similar terms as described below, and do not look as if they were created or sent by Leadspicker. You must not: send unsolicited messages (spam), including cold email or messages sent through Leadspicker, containing your link or code; bid on "Leadspicker" or similar terms in paid search or social ads, or use them in domain names or account names; pretend to be Leadspicker or suggest that you speak for us, including through websites, pages, accounts or ads that imitate ours; promise discounts, prices or features we do not offer; use false or misleading claims, including earnings claims; post your link or code on coupon or deal sites; or refer yourself, your own company or accounts you control, or create accounts to earn commissions.
You act only as an independent recommender. You have no authority to negotiate or conclude contracts on our behalf, to accept payments for us or to bind us in any way; your customers contract with us directly. Nothing in these terms makes you our employee, commercial agent, partner or representative. Partners who sell Leadspicker for us under a separate agreement are governed by that agreement.
You are responsible for how you promote Leadspicker. If a third party or an authority makes a claim against us, or fines us, because you breached this Section 8 or the law when promoting Leadspicker, in particular by sending messages in breach of anti-spam or electronic communications rules, by promoting without disclosing that you are paid, or by making false or misleading claims about Leadspicker, you will compensate us for the resulting damage and reasonable costs, including legal costs. Your liability under this paragraph is limited to the greater of 10,000 EUR and the commissions you earned in the 12 months before the claim, unless you acted intentionally or with gross negligence. We may set these amounts off against commissions owed to you.
9. Suspension and end of participation
We may suspend your participation and cancel commissions not yet paid out if you breach these terms, if we reasonably suspect fraud or abuse (for example, self-referrals, fake accounts or payments made to earn commissions), or if the law requires it. We will tell you the reason unless the law prevents it.
You may stop taking part at any time by writing to us, and we may end the Program, or your participation, for a reason other than a breach of these terms by telling you at least 30 days in advance. From the end, no commissions are earned, including on accounts you referred before; commissions earned on invoices paid before the end are paid out under Section 6 after the holding period. Cancelling your paid plan or moving to a free plan does not end your participation, and you keep earning.
Deleting your Leadspicker account ends your participation in the same way. Commissions not yet paid out at that time are paid out only by bank transfer, if you meet the conditions in Section 6(b) and have accepted these terms: once all of them are approved, in one final payout, provided their total reaches the minimum in Section 6(b). Otherwise they lapse. Before you delete your account, the application tells you the amount that would lapse.
10. Personal data
On the Refer & earn page we show you the names of the accounts you referred and whether they are paying; we show no other customers. You may not use this information for any other purpose. We process your payout details to pay you and to comply with our accounting and tax obligations, as described in our Privacy Policy, and we keep them for as long as the law requires (in the Czech Republic, 10 years for tax documents).
11. Changes to these terms
We may change these terms or the Program, including the rates, by telling you at least 30 days in advance on the Refer & earn page or by email. Changes apply to invoices paid after they take effect; commissions already earned keep the rate in force when they were earned. If you do not agree with a change, you may stop taking part before it takes effect. Commissions keep accruing either way, but nothing is paid out, to your account balance or by bank transfer, until you have accepted the version currently in force on the Refer & earn page.
12. Liability
The Program is offered as is. We are not liable for referrals that cannot be tracked, for example because cookies were blocked, or for any loss of profit. Our total liability to you under these terms is limited to the greater of 500 EUR and the commissions you earned in the 12 months before the claim. This limit does not apply to harm caused intentionally or through gross negligence, or to any other liability that cannot be limited by law.
13. Governing law and disputes
These terms are governed by the laws of the Czech Republic, excluding its conflict-of-laws rules. Disputes will be decided by the courts of the Czech Republic having jurisdiction over our registered seat.
